AIMY TERMS OF USE

These Terms of Use ("Terms") govern your access to and use of the website, AI platform AIMY, mobile applications, and related services (collectively, the "Services") provided by Augeo BN, LLC ("Augeo BN," "we," or "us"). By using the Services or by clicking to accept or agree to the Terms when this option is made available to you, you accept and agree to be bound by these Terms and our Privacy Policy.

Modification of Terms

Augeo BN reserves the right to revise and update these Terms at any time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.

Privacy Policy

By submitting information through the Services, you expressly consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy, which is incorporated into these Terms by reference.

Communications

By creating an account or using our Services, you consent to receive electronic communications from Augeo BN, including via email, SMS, or service notices. You may opt out of receiving promotional communications by following the unsubscribe instructions in those messages.

Access and Use

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. The Services are not available to any users previously removed from the Services unless expressly authorized by Augeo BN in writing.

AI Input

"AI Input" means any information, data, text, images, code, or other content you submit through the Platform. You represent that you own or have the necessary licenses and rights to submit such content, and that it does not violate these Terms or any applicable laws.

Use of AI Output

"AI Output" means any content generated by the Platform in response to your AI Input. You bear sole responsibility for evaluating the accuracy, completeness, and appropriateness of AI Output before any use or distribution. AI Output may be inaccurate, biased, or offensive; always review before relying on it.

Accounts

You may be required to create an account to access certain Services. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

Prohibited Uses

You agree not to:

Reverse engineer, disassemble, decompile, or otherwise exploit the Services or their underlying technology
Upload or transmit viruses, malware, or other harmful code
Link to, mirror, or frame any portion of the Services without our express written permission
Scrape, index, or data mine the Services for any purpose
Remove or obscure any proprietary rights notices on the Services
Use the Services in any way that violates applicable laws or regulations, infringes third-party rights, promotes illegal activity, or is otherwise fraudulent
Overload, spam, or mail-bomb the Services or their infrastructure
Use the Services to develop or support competing products or services
Interfere with the security or integrity of the Services
Share authentication credentials or circumvent pricing or access controls
Imply endorsement by Augeo BN without express written consent
Store images of minors without required parental consent under COPPA
Store protected health information or other sensitive medical data

Limited License

Subject to these Terms, Augeo BN grants you a limited, revocable, nonexclusive, non-transferable license to access and use the Services for your personal, non-commercial purposes. This license does not include the right to: use the Services commercially, publicly perform or display content, create derivative works, data mine, or download content except as expressly permitted.

Ownership

User Data

You retain all rights to your AI Input and AI Output (collectively, "User Data"). By using the Services, you grant Augeo BN a non-exclusive, royalty-free, worldwide license to use and display your User Data solely as necessary to provide and improve the Services. Augeo BN may delete User Data that violates these Terms or where deletion is legally required.

Intellectual Property

The Services and all content, features, and functionality (including software, text, displays, images, and design) are owned by Augeo BN or its licensors and are protected by intellectual property laws. The "Augeo BN Trademarks" may not be used without prior written permission. All goodwill from trademark use inures to Augeo BN.

Feedback

If you submit feedback, suggestions, or ideas about the Services, you grant Augeo BN the right to use and disclose such feedback without restriction or compensation to you.

Copyright Complaints

To report copyright infringement, send a notice to support@brandnetworks.com with: your contact information, a description of the copyrighted work, the location of the alleged infringement on our Services, a good-faith statement, a declaration that the information is accurate, and your signature.

Publicity Rights

Augeo BN may identify you as a customer in promotional and marketing materials unless you request otherwise in writing.

Service Changes

Augeo BN may modify, discontinue, or create usage limits for any part of the Services at any time without obligation or liability to you.

Suspension or Termination

Augeo BN may terminate or suspend your access to the Services without notice or cause. You may cancel your account at any time through your Account Settings. Upon termination, you will lose access to your User Data, and Augeo BN has no obligation to retain such data.

Trials

Trial features are provided "AS IS, WITHOUT ANY WARRANTY" for evaluation purposes only. Trial features may contain bugs or errors and may never reach general release. Discontinuing a trial feature may render your User Data inaccessible.

Subscription Plans and Payments

Subscription Plans

Augeo BN offers free and paid subscription plans. Free versions have limitations on features, creations, and channel access. Pricing is subject to change; changes to paid plans apply to subsequent billing cycles after notice.

Billing and Payment

Paid plan subscribers must provide a valid payment method. You authorize Augeo BN to share payment information with third-party processors as needed to complete transactions. You are responsible for all applicable taxes and fees. Augeo BN uses Stripe for payment processing. All payments are non-refundable and non-transferable except as expressly stated in these Terms.

Renewals

Subscriptions automatically renew at the end of each Subscription Term unless you cancel before the renewal date. You will be charged automatically at the applicable rate until cancellation.

Cancellation and Termination

If Augeo BN terminates your account for reasons other than breach or non-payment, you will receive a prorated refund. If you cancel, you will retain access through the end of your current term, with no refund thereafter. Users in certain jurisdictions may request a refund within 14 days of initial purchase.

Late Payments

Late payments accrue interest at 1.0% per month or the maximum rate permitted by law, whichever is lower. Billing disputes must be raised within 30 days of the invoice date; invoices not disputed within this period are deemed final and indisputable.

Credits

Promotional credits expire one year after accrual or upon account termination. Free plan credits expire after 90 days if you do not upgrade to a paid plan. Credits have no cash value, are non-transferable, and are non-refundable.

Third-Party Services and Links

The Services may contain links to or integrations with third-party websites or services. Your use of third-party services is subject to their respective terms and privacy policies. Augeo BN is not responsible for third-party services and expressly disclaims all liability arising from your use of any third-party service.

Indemnity

You agree to indemnify, defend, and hold harmless Augeo BN and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: your use of the Services, your violation of these Terms, any feedback you provide, any infringement of third-party rights, or your processing of data that infringes intellectual property rights.

Limited Warranty and Disclaimers

Limited Warranty

Augeo BN warrants that the Services will materially conform to its written documentation when accessed in accordance with these Terms. Your sole remedy and Augeo BN's sole liability for breach of this warranty is for Augeo BN to use reasonable commercial efforts to correct the Services.

Disclaimers

EXCEPT AS SET FORTH ABOVE, THE SERVICES AND ALL AI OUTPUT ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND. AUGEO BN SPECIFICALLY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AI OUTPUT MAY BE INACCURATE, BIASED, SIMILAR ACROSS USERS, UNPROTECTABLE BY COPYRIGHT, OR SUBJECT TO THIRD-PARTY TERMS.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AUGEO BN IS NOT LIABLE FOR ANY LOST PROFITS, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. AUGEO BN'S MAXIMUM AGGREGATE LIABILITY IS LIMITED TO THE GREATER OF $100 USD OR THE AMOUNTS YOU PAID FOR THE AFFECTED SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Confidentiality

Both parties agree to protect each other's confidential information using commercially reasonable care. Confidential information does not include information that is publicly available, received from a third party without restriction, already in the receiving party's possession, or independently developed. Disclosures required by law require prior notice to allow the disclosing party to seek a protective order.

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of New York, without giving effect to any conflict-of-law principles.

Arbitration Agreement

Any dispute arising out of or relating to these Terms or the Services will first be submitted to mediation through the American Arbitration Association (AAA). If mediation is unsuccessful, the dispute shall proceed to individual binding arbitration under AAA Commercial Rules. Arbitration will take place at the nearest AAA office to our principal place of business in Monroe County, New York. Arbitrators must have experience in intellectual property and advertising law. Disputes under $10,000 USD may be resolved in New York small claims court.

Class Action and Jury Trial Waiver

ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION, AND YOU WAIVE YOUR RIGHT TO A JURY TRIAL.

General

Entire Agreement

These Terms, together with any supplemental terms and our Privacy Policy, constitute the entire agreement between you and Augeo BN regarding the Services and supersede all prior agreements.

Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force.

No Waivers

Failure to enforce any provision of these Terms does not constitute a waiver. Waivers must be in writing and signed by an authorized representative of Augeo BN.

Venue

Any legal action not subject to arbitration must be brought exclusively in the state or federal courts located in Monroe County, New York.

Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. Augeo BN may assign its rights to affiliates or in connection with a merger, acquisition, or sale of assets.
